Abreu Advogados advises Plasman Europe on the sale of Plasman Portugal to a US company
Abreu Advogados advised Plasman Europe, a Swedish company within the Plasman Group, on the sale of the entire share capital of Plasman Portugal to US-based JAC Products, Inc. The transaction involved the transfer of 100% of the share capital of the Portuguese subsidiary. Plasman Portugal operates a manufacturing facility for automotive components in Carregado, Alenquer.
The Abreu Advogados team involved in the transaction was led by partner César Bessa Monteiro, jr and professional partner Cláudia Santos Malaquias, with the support of partner Armando Martins Ferreira, associated partner José Maria Alves Pereira and associate lawyer Rodrigo Cóias.
Abreu Advogados acted as legal adviser to Plasman Europe on all matters of Portuguese law relating to the transaction, including the corporate and equity restructuring of the target company carried out prior to the transaction, support with the seller-side due diligence process, and the drafting and negotiation of the share purchase agreement and other related documentation.
The legal advice also covered corporate, employment, tax, real estate, environmental and competition law matters, as well as merger control analysis.
