Abreu Advogados advised Mercedes-Benz AG on a strategic transaction in the automotive sector in Portugal, concerning the divestment of its commercial vehicles (Vans) distribution business through an Asset Purchase Agreement.
Abreu Advogados acted as local counsel, with the team led by the partner Ana Sofia Batista and also including Armando Martins Ferreira, Sofia Silva e Sousa, António Vidal and Maria José Almeida Ricardo. The firm played a key role in structuring the transaction, including assisting with potential buyers and their advisors, reviewing and negotiating the acquisition agreement, and coordinating the signing process.
The transaction involved a high degree of legal complexity, particularly regarding the qualification of the business and the analysis of its tax implications, requiring an integrated and multidisciplinary approach.
