Cláudia Santos Malaquias is a Professional Partner and has been at Abreu Advogados since 2019. She works primarily on commercial and corporate law.

Cláudia focuses on assisting companies and business groups, in Portugal and abroad, in connection with commercial and corporate matters, notably, with the incorporation of companies, sale and purchase of equity participations, shareholders agreements, mergers, demergers, asset contributions and exchange of shares, corporate restructuring and transformations.

She also has vast experience in assisting national and international companies with investment operations in Angola and Mozambique, providing support on commercial, corporate, regulatory, foreign exchange and private investment matters.

Work Experience

Assisting a prospective buyer of a Portuguese market leader in the chartering of aircrafts, including the performance of a legal due diligence related with such transaction and drafting and negotiation of share purchase and sale agreement, as well as the analysis of the several risks involved in Portugal from a competition standpoint, including the drafting of the relevant notifications to be filed with the competent authorities.

Assisting a prospective buyer of a Portuguese market leader in the provision of transportation of valuables and private security services, including the performance of a legal due diligence related with such transaction and drafting and negotiation of share purchase and sale agreement.

Assisting a prospective buyer of a large Portuguese conglomerate in the plastic sector in the carrying out of a buyers’ due diligence over the sellers’ assets, legal vehicles and commercial contracts.

Assisting an Australian publicly-listed international company in its acquisition of a Portuguese explosives company.

Assisting a Portuguese company in its merger process with a Dutch company within the legal framework established by the EU Directive on cross-border mergers.

Assisting foreign investors in connection with the structuring of their activities and the creation of special purpose vehicles (SPVs), in Portugal, Angola and Mozambique, for their investments in Europe.

Assisting an English brewery group in the Angolan impact of the international merger of its African business.

Assisting several international companies with the acquisition and transfer of participating interests in Angolan and Mozambican commercial companies.
