Cláudia Santos Malaquias is a Professional Partner and has been with Abreu Advogados since 2019, working mainly in the areas of corporate, commercial and M&A law. She is currently co-coordinator of the Fashion, Luxury and Lifestyle industry at Abreu Advogados.

Particularly dedicated to the Portuguese market, she has been intensely involved in multiple transactions, providing legal advice to companies and business groups, both national and international, on matters of commercial and corporate law, namely the incorporation of companies, purchase and sale of shareholdings, shareholders’ agreements, mergers, demergers, transfers of assets and exchanges of shares, restructurings and corporate transformations.

She also has extensive experience in advising national and international companies on investment operations in Angola and Mozambique, including support in matters of commercial, corporate, regulatory, foreign exchange and private investment law.

She has extensive experience in advising on day-to-day corporate transactions in the energy and natural resources, aviation, maritime and transport, oil and gas, fashion, luxury and lifestyle industries.

Advising on M&A projects in Portugal, Angola and Mozambique, with special emphasis on the energy and natural resources sectors

Advising on the implementation, construction, operation and sale of hotel and leisure developments

Legal advice on setting up, building and operating retail operations in Portugal

Advising a potential buyer of a leading Portuguese company in the field of cash-in-transit and private security services, including carrying out legal due diligence in connection with this transaction and preparing and negotiating a share purchase agreement

Advising a potential buyer of a leading Portuguese company in the aircraft charter market, including carrying out legal due diligence related to this transaction and preparing and negotiating a share purchase agreement, as well as analysing the various risks involved in Portugal from a competition point of view, including drafting the relevant notifications to be submitted to the competent authorities

Advising a potential buyer of a large Portuguese group of companies in the plastics sector, as part of the buyer's due diligence on all the seller's assets, legal vehicles and commercial contracts

Advising a Portuguese company on its merger process with a Dutch company, within the legal framework established by EU directives on cross-border mergers
