Abreu Advogados advises on Iberis Capital’s investment in Aquitex
Abreu Advogados provided legal advice on Iberis Capital’s acquisition of a stake in Aquitex, in a transaction that marks the beginning of a new growth cycle for the Portuguese chemical company.
Iberis Capital has acquired a majority stake in Aquitex, while the Faria family remains involved in executive management and retains a minority shareholding. The transaction will enable the company to accelerate its expansion, strengthen the development of new products and explore new business opportunities in international markets.
Abreu Advogados advised the seller in a complex process involving the coordination of multiple legal and formal acts, as well as the applicable regulatory framework for the sector.
“This was a complex cash and equity transaction, subject to several conditions precedent, including clearance from the Portuguese Competition Authority, and involving different legal systems, as one of the selling entities operates under Italian law,” said Pedro Pessanha, of counsel at Abreu Advogados in the corporate, commercial, M&A and real estate practice areas, who led the process.
The Abreu Advogados team also included Diogo Pessanha, Miguel Rodrigues Leal, Benedita Pessanha and Maria Eduarda Fernandes.
On Iberis Capital’s side, the transaction was legally advised by Deloitte Legal Telles and, with regard to the identification of the opportunity and the strategic alignment between the parties, by BDO.
