Diogo Pessanha is a Professional Partner at Abreu Advogados since 2022, working primarily in the areas of corporate and M&A.

He is particularly involved in matters related to corporate governance, providing regular support to national and international companies in various sectors.

In the various M&A operations and projects in which he is involved, he provides all the corporate and commercial analysis, as well as the structuring of the acquisition, negotiation and drafting of contracts, having relevant experience in transactions in the areas of health, metalworking, wine, textiles and the chemical and petrochemical industry.

He also has extensive experience in negotiating and restructuring bank loans and creating national and international guarantees.

He also provides advice on employment law issues, with particular emphasis on the conduct of termination of employment contracts (collective dismissals and termination of employment) and disciplinary proceedings.

Diogo Pessanha is an European Regional Forum Liaison Officer at the Young Lawyers’ Committee of the IBA – International Bar Association.

 

Experience

Advising a multinational group in the petrochemical industry sector on the sale of a 50% stake in a Canadian subsidiary and shares to a US competitor.

Advising a multinational group in the chemical & petrochemical industry in the restructuring of its bank debt of approximately EUR 200 million, with a haircut of EUR 140 million and reinforcement of the collateral package spread across nine different jurisdictions.

Advising a major national group in the private health sector in the acquisition of several companies and businesses in complementary means of diagnosis and, subsequently, advising its shareholders in its sale of the group, in a "competitive bid" process to a competing multinational.

Advising national clients on the acquisition of national and international companies and real estate assets in the wine sector.

Advising a foreign client on the acquisition of a wood pallets production unit.

Advising a national group (with international presence) in the acquisition of a company for the production and distribution of materials for civil construction.

Advising national and multinational companies (with a staff between 300 and 450 employees) on various issues of employment law, with particular emphasis on the conduct of proceedings for termination of the employment contract (collective dismissals and termination of employment) and disciplinary proceedings.
