Abreu Advogados assists Embraer Portugal in the sale of two companies

Abreu Advogados was the firm that, in Portugal and in the context of an international team, advised Embraer Portugal in the transfer to the Spanish company Aernnova Aerospace, S.A.U., of its factories in Évora (Portugal), operated by Embraer Portugal Estruturas Metálicas and Embraer Portugal Estruturas em Compósitos. The operation is valued at about 151 million Euros.

Abreu Advogados’ team was coordinated by the Professional Partner Madalena Caldeira and also involved Partner Inês Sequeira Mendes in the Competition matters, Partner Marta Romano de Castro in Corporate, Partner Mafalda Teixeira de Abreu in Regulatory matters and other professionals from the various practice areas involved in the project.

Abreu Advogados advises Embraer, and in particular Embraer Portugal, since 2011 and has accompanied the evolution and growth of the group in Portugal. Despite the transfer of the Évora plants to Aernnova, Embraer Portugal maintains its presence in Portugal under the contract with the Portuguese State for the supply of the KC 390 aircraft.

Both companies now transferred were part of Embraer Portugal and together have about 500 employees. Embraer Metálicas uses state-of-the-art technology in the construction, in aeronautical aluminum, of liners used in the wings of Embraer aircraft, while Embraer Composites is dedicated to the production, in carbon fiber, of empennage and horizontal stabilizers.

Embraer is one of the largest commercial aircraft manufacturers in the world and since 2012 it has developed part of its production process in Portugal, more precisely in Évora.

The operation now announced will be completed by the end of the first quarter of 2022, under the conditions agreed between the parties.
