Miguel Teixeira de Abreu is the founding Partner whose practice focuses on tax advice in Portugal. He advises on the corporate, financial and taxation aspects of business structuring and corporate restructuring operations.

Miguel Teixeira de Abreu focuses on matters relating to mergers, demergers and acquisitions, asset contributions, and exchange of shares, particularly in connection with international tax and project finance. He has been the lead in tax advice in Portugal, particularly in litigation cases involving double taxation, breach of EU laws, and transfer pricing. He assists family-owned companies on generational planning, specifically, tax matters and asset structuring to ensure the transmission of assets. Additionally, he participates in investment operations in Angola and Mozambique, advising on tax issues and assisting Abreu International Legal Solutions’ lawyers in their interchange with lawyers based in Angola and Mozambique.

 Finally, with an Active role in some of the most relevant restructuring operations in multinational groups taking place in Portugal, Miguel has extensive experience in advising on transactions in the healthcare, telecommunications, automobile, ports and financial sectors.

Experience

Advising a multinational company in the telecommunications sector on the integration of a multinational company which it acquired, including the transfer of assets, refinancing operations and tax advice in Portugal;

Advising a multinational company in the food sector on the integration of another company's business in the same sector, including a number of share swaps, demergers and incorporation of branch offices;

Advising management of a leading company in the retail sector on the preparation and structure of a management buy-out that led to the company's acquisition. He participated in the restructuring which was followed by a sale to a French multinational group four years later; Advising a multinational group in the ports sector on the refinancing of its operations in Portugal;

Advising a multinational group in the healthcare industry in connection with several tax arbitration proceedings related to the recovery of taxes withheld in Portugal in breach of European laws;

Advising a multinational group in the automobile industry on a number of tax arbitration proceedings regarding   its transfer pricing policies, including the application of the arbitration convention on the elimination of international double taxation;

Advising on Generational Planning to a French family-owned group on the structuring of its estate and assets to ensure their transmission;

Advising a Brazilian group on the preparation of a significant investment in the agri-food sector in Angola.
